TERMS AND CONDITIONS

of the online store www.pestik.cz

These Terms and Conditions are valid and effective as of January 1, 2025.

I. INTRODUCTORY PROVISIONS

The domain www.pestik.cz operates an online store focused on the sale of gardening supplies, seeds, substrates, fertilizers, protective agents, cultivation accessories, natural cosmetics, food products, and other goods (hereinafter referred to as the “online store”).

Eucalypt 4 LLC is a company registered in Delaware with its registered office in New York, whose purpose is to facilitate the sale of goods from Czech suppliers. The company manages the operation of the domain pestik.cz, the website content, and the creation and publication of all texts, photos, and product descriptions. Eucalypt 4 LLC is responsible for all content published on the website www.pestik.cz and for operating the affiliate program.

Eucalypt 4 s.r.o. is the exclusive supplier and seller of all goods offered on www.pestik.cz. The purchase contract is concluded exclusively between the buyer and Eucalypt 4 s.r.o., which is responsible for order fulfillment, product quality, invoicing, and complaint handling.

Cooperation model:

The online store operates on the principle of sales mediation, where Eucalypt 4 LLC, as an American company, facilitates the sale of Czech suppliers’ goods to both domestic and foreign customers. Eucalypt 4 LLC accepts orders via the pestik.cz website and forwards them to Eucalypt 4 s.r.o., which, as a Czech supplier, handles all customer-related fulfillment. Eucalypt 4 LLC also operates the affiliate program and marketing activities related to the promotion of Czech products.

II. IDENTIFICATION OF THE CONTRACTING PARTIES

2. Buyer:

The buyer is considered to be any natural or legal person identified as the buyer in the duly completed forms on the www.pestik.cz online store. The buyer expressly declares that all personal information entered in registration, order, or other forms (name, address, phone number, e-mail, delivery address, etc.) has been provided accurately and truthfully. The buyer grants the seller consent to process this personal data for the purposes specified in Article III of these Terms and Conditions. The buyer is obliged to comply with the seller’s requests when verifying the accuracy and authenticity of the information contained in the order form.

III. PERSONAL DATA PROTECTION

The online store operator Eucalypt 4 LLC and the seller Eucalypt 4 s.r.o. declare that the personal data provided by buyers will not be shared with third parties and that all rules set forth by the GDPR regulation and Act No. 110/2019 Coll., on the processing of personal data, will be fully and strictly observed.

Personal data required for communication with the buyer will be used solely for the purposes of the product ordering system. We reserve the right to use such data to inform the user about upcoming promotions or discounts. Within 10 days of the first order placed on the online store www.pestik.cz, a single feedback survey on our service quality is sent to the e-mail address provided in the order form. Completing the survey is voluntary.

By registering their details in the www.pestik.cz system, the buyer grants consent to the above-mentioned use of personal data and confirms that the data has been provided voluntarily.

IV. SUBJECT OF THE PURCHASE AGREEMENT

1. Seller’s obligations

In the event of a concluded purchase agreement, the seller undertakes to deliver the item of purchase to the buyer and transfer ownership rights to the buyer.

2. Buyer’s obligations

In the event of a concluded purchase agreement, the buyer undertakes to accept the delivered goods and pay the agreed purchase price to the seller or the carrier.

3. Subject of purchase

The subject of purchase under the concluded purchase agreement is the goods specified by name, type, quantity, dimensions, price, etc., in the buyer’s order.

V. RIGHTS AND OBLIGATIONS OF THE CONTRACTING PARTIES REGARDING THE ORDER AND DELIVERY OF SELECTED GOODS

1. Order

A valid order submitted by the buyer constitutes, except for exceptions stated in this paragraph, an irrevocable proposal by the buyer to conclude a purchase agreement concerning the goods specified in the order. The period for acceptance of the buyer’s proposal to conclude a purchase agreement by the seller (acceptance period) is a maximum of 24 hours on working days, starting from the time the buyer’s order was submitted in the www.pestik.cz system.

An order may be cancelled in the following cases: a) by mutual agreement at any time, while the seller reserves the right not to accept the order cancellation; b) by the buyer, but only before the order is confirmed by the seller; c) the seller reserves the right to cancel the order or part of it in the following cases: the goods are no longer produced or supplied, or there has been a significant change in the supplier’s price.

2. Place and time of delivery

The seller’s obligation to deliver the goods to the buyer is fulfilled by delivering the goods to the designated place of delivery and within the agreed delivery period. The place of delivery is the location specified by the buyer in the order form, and the agreed delivery time is either the period mutually agreed upon by the parties or the delivery time indicated for the specific goods on www.pestik.cz.

3. Method of goods acceptance

Delivery of goods to the buyer shall be deemed to occur when the goods are received by the buyer or another person present at the delivery address at the time of delivery. The buyer or an authorized person must confirm the handover and receipt of goods in writing to the delivering person.

4. Transport

The seller will ensure delivery of goods to the delivery address through Česká pošta, PPL, or another carrier chosen by the buyer.

VI. PRICE AND PAYMENT TERMS

1. Purchase price

The parties agree on the purchase price of the goods, which corresponds to the price of the ordered goods listed in the seller’s product catalog. All prices are inclusive of VAT.

2. Payment methods

  • Cash on delivery upon receipt of goods
  • Advance payment by bank transfer
  • Online card payment
  • Cash payment upon personal collection

3. Shipping fees

Shipping fees will be added to the price of the goods according to the current shipping price list. Free shipping is provided for orders over CZK 1,500.

VII. WITHDRAWAL FROM THE PURCHASE AGREEMENT

1. Consumer’s right of withdrawal

The buyer – consumer has the right to withdraw from the purchase agreement without giving any reason within 14 days from taking delivery of the goods. If the purchase agreement concerns several types of goods or the delivery of several parts, this period runs from the date of receipt of the last delivery of goods.

2. Manner of withdrawal

The withdrawal must be sent to the seller within the above time limit. For withdrawal, the buyer may use the template form provided by the seller. The buyer may send the withdrawal from the purchase agreement to the seller’s place of business: Eucalypt 4 s.r.o., Hradisko 467, 763 26 Luhačovice, or by e-mail to: reklamace@pestik.cz.

3. Effects of withdrawal

In the event of withdrawal from the agreement, the seller shall refund the funds received from the buyer within 14 days of the buyer’s withdrawal, using the same method by which they were received from the buyer. The buyer acknowledges that if the returned goods are damaged, worn, or partially consumed, the seller is entitled to claim compensation for the damage thus incurred.

4. Exceptions to the right of withdrawal

The buyer cannot withdraw from the agreement:

  • for the supply of goods that were customized according to the buyer’s wishes or for the buyer’s person,
  • for the supply of goods that are liable to deteriorate rapidly, as well as goods that were irreversibly mixed with other goods after delivery,
  • for the supply of sealed goods which were unsealed by the consumer and which are not suitable for return for health or hygiene reasons.

VIII. LIABILITY FOR DEFECTS, WARRANTY

1. Buyer’s rights arising from defective performance

The seller warrants to the buyer that the goods are free of defects upon receipt. If a defect appears within 24 months from receipt, it is presumed that the goods were defective at the time of receipt. The buyer is entitled to exercise the right arising from a defect that occurs in consumer goods within 24 months of receipt.

2. Claims (Complaints)

The buyer is obliged to file a claim with the seller without undue delay after discovering the deficiency. A claim may be made:

3. Handling of claims

The seller shall decide on the claim immediately, in complex cases within 3 working days. The period necessary, with regard to the nature of the product or service, for expert assessment of the defect is not included in this period. The claim, including remedy of the defect, must be settled without undue delay, no later than 30 days from the date the claim is made.

IX. OTHER RIGHTS AND OBLIGATIONS OF THE PARTIES

1. Responsibility for content

Eucalypt 4 LLC is responsible for the accuracy and completeness of the information provided on the website www.pestik.cz, including product descriptions, photographs, and marketing communications. Eucalypt 4 s.r.o. is not responsible for the website content.

2. Force majeure

The seller shall not be liable for delays in fulfilling its obligations if such delay was caused by circumstances excluding liability (force majeure).

3. Affiliate program

X. FINAL PROVISIONS

1. Dispute resolution

Disputes shall be resolved primarily by amicable means. If no agreement is reached, disputes shall be decided by the general courts of the Czech Republic. The consumer has the right to out-of-court settlement of consumer disputes. The competent authority is the Czech Trade Inspection Authority (www.coi.cz).

2. Changes to the Terms and Conditions

The operator reserves the right to amend these Terms and Conditions. Amendments take effect on the date they are published on the website.

3. Validity and effect

These Terms and Conditions become valid and effective on January 1, 2025.
